NIGER & NILELEGAL PRACTITIONERS

Insolvency and restructuring, from the inside

Led by a CAC-accredited Insolvency Practitioner who served as the court-appointed Administrator of Dana Airlines Limited, we advise creditors, directors and companies in distressed situations and act in formal insolvency processes.

Jurisdictions served Lagos · Ogun · Oyo · Abuja

What we handle

Rescue, recovery and orderly exit.

We act in every formal process under CAMA 2020 and in informal restructurings around it.

Administration

Appointments, applications to court and creditor engagement in administration.

Voluntary arrangements

Company voluntary arrangements and schemes that let a viable business agree terms with its creditors.

Receivership

Appointing receivers and managers under debentures, and challenging improper appointments.

Winding up

Creditors' petitions, statutory demands, voluntary liquidations and the defence of petitions.

Creditor representation

Proving debts, creditor committees and protecting a creditor's position in an insolvent estate.

Directors' advice

Directors' duties when a company is in difficulty, and exposure to personal liability, including for fraudulent trading.

The legal framework

CAMA 2020 changed Nigerian insolvency.

The Companies and Allied Matters Act 2020 introduced administration and company voluntary arrangements, giving viable businesses a route to rescue rather than liquidation.

During administration, a moratorium generally stops creditors from enforcing security or continuing proceedings against the company without the administrator's consent or the court's permission. Creditors need advice early, before the moratorium takes effect.

Statutory demands

A company that fails to pay a properly served statutory demand within the time allowed may be presumed unable to pay its debts, which supports a winding-up petition.

Qualified practitioners

Insolvency appointments require a qualified, accredited insolvency practitioner. Our Managing Partner is accredited by the Corporate Affairs Commission.

Choosing the process

Administration, a voluntary arrangement, receivership and liquidation each suit different situations. The choice decides how much creditors recover.
